Partner Program Terms

1. Agreement to Terms
By applying to or participating in the Atlas Partner Program ("Program"), you ("Partner," "you," or "your") agree to be bound by these Partner Program Terms ("Terms"). The Program is operated by Atlas Platform LLC ("Atlas," "we," "us," or "our").
You are an independent contractor and not an employee, agent, or representative of Atlas. Nothing in these Terms creates an employment relationship between you and Atlas.
2. Program Overview
Atlas partners refer businesses to the Atlas cash management platform. Partners earn trailing commissions on referred customer assets under management (AUM). Commissions are calculated on qualifying AUM and paid via Stripe Connect.
3. Eligibility
To participate in the Program, you must meet the following requirements:
- You must be at least 18 years of age.
- You must complete Stripe Connect onboarding, including identity verification, tax information, and bank account registration.
- Atlas reserves the right to approve or reject any application at its sole discretion.
- You must comply with all applicable laws and regulations regarding referral activities in your jurisdiction.
4. Referral Codes & Attribution
Each partner receives a unique referral code and link upon acceptance into the Program.
- Attribution is tracked via referral link URL parameter or manual code entry during customer onboarding.
- Attribution is stored permanently and cannot be transferred between partners.
- A 90-day cookie window applies for URL-based attribution.
5. Commission Structure
- The commission rate is set by Atlas and may be modified at any time at Atlas's sole discretion.
- Commissions are calculated on the average daily balance of qualifying referred customers.
- Commissions are paid quarterly via Stripe Connect (ACH deposit).
- Atlas reserves the right to modify commission rates, payment frequency, and program structure at any time.
6. Qualification Requirements
- Referred customers must deposit a minimum of $100,000 within 60 days of signup to qualify.
- A 90-day cliff period applies after qualification before commissions become payable.
- Commissions are calculated on average daily balance, not peak balance.
7. Anti-Gaming Provisions
- Self-referral is prohibited. Partners cannot refer their own companies or affiliated entities.
- Commissions are subject to an annual cap of $500,000 per partner per calendar year.
- If a referred customer withdraws all funds within 12 months of the cliff period ending, Atlas may offset previously paid commissions against future payouts (clawback).
- Atlas monitors for fraudulent or manipulative referral activity and reserves the right to suspend or terminate partner accounts at any time.
8. Payouts & Taxes
- Commissions are paid via Stripe Connect to the partner's registered bank account.
- Atlas will file IRS Form 1099-NEC for US-based partners earning $600 or more annually.
- Partners are responsible for reporting and paying all applicable taxes on commission income.
- Payouts are made in USD. For international partners, Stripe handles currency conversion and applicable fees.
9. Independent Contractor Status
Partners are independent contractors. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Atlas.
- Partners are responsible for their own taxes, insurance, and business expenses.
- Atlas does not provide benefits, workers' compensation, or unemployment insurance to partners.
10. Representations & Conduct
- Partners must not make false or misleading claims about Atlas products or services.
- Partners must not engage in spam, unsolicited communications, or deceptive marketing.
- Partners must disclose their referral relationship when recommending Atlas.
- Partners must comply with all applicable advertising and disclosure regulations (e.g., FTC guidelines).
11. Confidentiality
- Commission rates, program details, and partner dashboard data are confidential.
- Partners must not disclose program economics publicly without Atlas's written consent.
- Customer information visible in the partner dashboard is anonymized and must not be shared.
12. Termination
Either party may terminate the partnership at any time with written notice.
- Atlas may terminate immediately for violation of these Terms, fraudulent activity, or conduct harmful to Atlas's reputation.
- Upon termination, pending qualifying commissions will be paid.
- Future commissions cease upon termination.
13. Limitation of Liability
Atlas's liability under the Partner Program is limited to unpaid commissions actually earned. Atlas is not liable for indirect, consequential, or incidental damages. Atlas does not guarantee any minimum referral volume or commission earnings.
14. Modifications
Atlas may modify these Terms at any time. Changes will be communicated via email. Continued participation in the Program after notification constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Wyoming. Any disputes arising out of or relating to these Terms shall be resolved through binding arbitration in Wyoming.
